This Memorandum of Understanding (MOU) outlines the shared understanding between Access Logan Inc. and its members regarding governance,
decision-making, and the management of conflicts of interest.

No Preferential or Financial Benefits (See Terms &
Conditions, Conflict of Interest Policies)
Members acknowledge and agree that their role, membership status, or business association with Access Logan Inc. does not provide
preferential access, treatment, or benefit in relation to services, referrals, contracts, or opportunities.

Quoting and Procurement Process (See Terms &

Rules)
Where a member wishes to provide services to Access Logan Inc., all services must be formally quoted. External quotes must also be
obtained where appropriate. All quotes must reflect fair market value or less.
The preferred option will be determined in the best interests of Access Logan Inc. and, where required, put to a vote.

Managed Conflicts of Interest (See Conflict of Interest
Policy)
Access Logan Inc. acknowledges that potential conflicts of interest may arise and confirms that these are actively managed.
Any member with a known or perceived conflict of interest must declare that conflict and is excluded from voting or decision-making
related to that matter.

Governance and Membership (See Governance and Delegation
Policy)
Board member positions and general membership within Access Logan Inc. are not exclusive to any specific industry, profession, or
service offering.
Membership applications are reviewed and approved by the Committee in accordance with the Constitution.
This MOU reflects a commitment to transparency, fairness, and ethical governance in support of Access Logan Inc.’s mission. All members are
subject to our Code of Conduct, Terms and conditions of
Membership and Constitutional
Model Rules.
