Governance & Delegations Policy
Access Logan Inc.
1. Purpose
This Governance & Delegations Policy outlines how Access Logan Inc. is governed and how decision-making authority is exercised and delegated.
This Policy ensures:
- Clear accountability
- Transparent decision-making
- Proper oversight
- Compliance with the Constitution, Model Rules, ACNC Governance Standards, and applicable legislation
- Protection of the Association’s charitable and principal purposes
2. Governance Authority
Access Logan Inc. is governed by its elected Committee in accordance with the Constitution and Model Rules.
The Committee holds ultimate responsibility for:
- Strategic direction
- Financial oversight and sustainability
- Regulatory compliance (ACNC, Office of Fair Trading, and DGR obligations where applicable)
- Risk management
- Approval of significant decisions
- Protection of the Association’s assets and reputation
The Committee acts collectively, and decisions are made by resolution in accordance with the Constitution.
3. Duties of Committee Members
Committee Members must:
- Act in good faith and in the best interests of the Association
- Exercise reasonable care and diligence
- Act for a proper purpose
- Not misuse their position or information
- Declare and manage conflicts of interest
- Ensure the Association operates in alignment with its charitable purposes
4. Delegations of Authority
The Committee may delegate specific operational functions to:
- Office Bearers
- Subcommittees
- Working groups
- Staff or contractors
- Approved coordination or leadership roles
All delegations:
- Must be clearly defined
- Must remain consistent with the Constitution
- Do not remove the Committee’s ultimate responsibility
- May be revoked at any time by Committee resolution
5. Financial Oversight and Delegations
The Committee retains oversight of all financial matters.
Unless otherwise resolved by the Committee:
- Expenditure outside the approved budget requires Committee approval.
- Contracts or service agreements exceeding a threshold determined by the Committee require formal approval.
- Procurement involving a Member must comply with the Conflict of Interest Policy and quoting procedures.
The Treasurer oversees financial reporting and provides regular financial updates to the Committee.
6. Membership Decisions
- Membership applications are reviewed and approved by the Committee in accordance with the Constitution.
- Committee positions are elected at the Annual General Meeting.
- Voting rights are exercised in accordance with the Constitution and Membership Terms.
Delegated individuals may assist in processing applications; however, final approval rests with the Committee.
7. Conflict of Interest
All conflicts of interest must be declared and managed in accordance with the Conflict of Interest Policy.
A person with a declared conflict:
- Must not participate in discussion
- Must not vote
- Must not attempt to influence the outcome
The Committee retains authority to determine how conflicts are managed.
8. Risk and Compliance
The Committee is responsible for ensuring:
- Compliance with ACNC Governance Standards
- Compliance with Office of Fair Trading requirements
- Compliance with DGR and Gift Fund obligations (where applicable)
- Maintenance of appropriate insurance coverage
- Proper record-keeping and reporting
9. Policy Hierarchy
In the event of inconsistency, governance documents apply in the following order:
- Applicable legislation
- Constitution / Model Rules
- Committee resolutions
- Governance policies
- Operational procedures
10. Review
This Policy may be reviewed and amended by resolution of the Committee to ensure continued compliance and best practice governance standards.
