Conflict of Interest Policy

Access Logan Inc.

1. Purpose

The purpose of this Policy is to ensure that all decisions of Access Logan Inc. are made in the best interests of the Association and its charitable purposes, free from improper influence, personal gain, or perceived bias.

This Policy supports the Association’s commitment to transparency, fairness, ethical governance, and compliance with ACNC Governance Standards and relevant legislation.

2. Scope

This Policy applies to:

  • Committee Members (Responsible Persons)
  • Office Bearers
  • All categories of Members
  • Volunteers and individuals acting on behalf of the Association

3. Definition of Conflict of Interest

A conflict of interest arises where a person’s personal, professional, or financial interests could improperly influence, or be perceived to influence, their decision-making in relation to the Association.

Conflicts may be:

  • Actual – a real and existing conflict
  • Perceived – a situation that could appear to be a conflict
  • Potential – a situation that may develop into a conflict

4. No Preferential or Financial Benefit

Membership, Committee position, or business association with Access Logan Inc. does not provide any preferential access, treatment, or financial benefit in relation to:

  • Referrals
  • Contracts
  • Procurement decisions
  • Paid service opportunities
  • Strategic decisions

All decisions must be made in the best interests of the Association and its charitable purposes.

5. Procurement and Quoting Process

Where a Member or Committee Member wishes to provide services to Access Logan Inc.:

5.1 All services must be formally quoted in writing.

5.2 External quotes must also be obtained where appropriate to ensure fairness and value.

5.3 Quotes must reflect fair market value or less.

5.4 The preferred option will be determined in the best interests of the Association and may be put to a vote where required under the Constitution or Committee procedures.

6. Disclosure and Management of Conflicts

6.1 Any Member or Committee Member with an actual, perceived, or potential conflict of interest must declare that conflict as soon as it becomes known.

6.2 The declared conflict must be recorded in meeting minutes where applicable.

6.3 A person with a declared conflict:

  • Must not participate in discussion relating to the matter
  • Must not vote on the matter
  • Must not attempt to influence the outcome of the decision

6.4 The remaining non-conflicted Committee Members will determine the appropriate course of action in the best interests of the Association.

7. Governance and Membership

7.1 Committee positions and general membership are not exclusive to any specific industry, profession, or service offering.

7.2 Membership applications are reviewed and approved by the Committee in accordance with the Constitution.

7.3 All members remain subject to:

  • The Constitution
  • The Model Rules
  • The Code of Conduct
  • The Terms and Conditions of Membership
  • This Conflict of Interest Policy

8. Breach of Policy

Failure to declare or appropriately manage a conflict of interest may result in:

  • Removal from decision-making processes
  • Disciplinary action
  • Suspension or termination of membership
  • Removal from Committee position in accordance with the Constitution

9. Review

This Policy may be reviewed and amended by resolution of the Committee to ensure continued compliance with regulatory obligations and best practice governance standards.
